Without seeing the theme or template you're working with and what happens - it's hard to say. But you mentioned it would "try" to load - do you mean that it just freezes down Storyline or it's constantly acting like it's loading?
Can you confirm that you're following along with the guidelines here for working with Storyline:
When I opened your zip file, the files I saw were a .athm file type - I don't know what that file type is, but it's not a .story or .storytemplate file which would house your theme. Can you let me know where you're creating these themes? If they're not created in Storyline, unfortunately I'll be unable to assist.
I definitely had a brain lapse yesterday when I read this. That is absolutely the theme file, and it's accessible through the slide master as detailed here. Now that I've had a cup of coffee - I opened both your theme files in my Storyline project and loading the buggy and clean versions and didn't see any particular elements to your theme (which sounds like you expected that in the buggy theme). I applied placeholders to both and they appeared on the slides.
You mentioned tracking the problem to a particular layout - when you removed that placeholder does the theme then load successfully? Are you able to apply the placeholder after the fact?
I tried loading both themes in - and they both seemed to appear in the sense that the bottom of the "slide master" says the new theme name - either "buggyTheme" or "cleanTheme" - so I can't necessarily recreate the behavior. I'm glad you were able to figure out a way around it - but if it occurs again, let me know and I can send you directions on how to share the actual theme with me privately.

I follow all guideline while working (local drive & al.).
When I say "try", I mean it seems to load but it won't make any change, previous theme remains.
I'll try to upload a buggy version of the theme.

Here are the files. The only difference is the placeholder in the first layout.
You won't be able to apply the "BuggyTheme" and you may have to load "CleanTheme" twice, but it work.
I think you just have to add a placeholder in the first layout again to prevent it to work.

Nothing's like a cup of coffee !
I remove graphics from themes so it might not be clear what to expect :
- buggyTheme won't load at all because of placeholder on the first slide (why ?)
- cleanTheme will load because first slide is empty (the only difference is I removed the placeholder).
I was lucky enough to find this workaround for my carefuly crafted theme but I was afraid for a moment that the theme would have been useless !
